6、financialEnterprises(2020Edition)anddevelopedtheGuidelinesforDueDiligenceonDebtFinancingInstrumentsofNonFinancialEnterprises(2023Edition),which,asdeliberatedandadoptedatthe9thmeetingoftheFourthExecutiveCounciloftheNAFMIIonJune29,2023,areherebyissuedandshallcomeintoforceonNovember1,2023.简称交易商协会）相关自律规

7、 则，交易商协会组织市场成员对 非金融企业债务融资工具主承 销商尽职调查指引（2020版） 进行修订，形成非金融企业债 务融资工具尽职调查指引（2023 版），经2023年6月29日交 易商协会第四届理事会第九次会 议审议通过，现予发布，自2023 年11月I日起施行。本指引施行前，主承销商等中介 机构对企业在银行间债券市场注 册发行债务融资工具开展尽职调 查，适用当时的自律规则；当时 的自律规则没有规定或规定不明 确的，可参照本指引理解。BeforetheseGuidelinescomeintoforce,duediligenceconductedbyleadunderwritersando

10、会议审议通过， 2020年10月16日第五届常务理 事会第十八次会议修订，2023年 6月29日第四届理事会第九次会 议修订）第一章总则第一条 为规范银行间债券 市场非金融企业债务融资工具 （以下简称债务融资工具）中介 机构的尽职调查行为，提高尽职 调查质量，根据相关法律法规、 部门规章、规范性文件及中国银 行间市场交易商协会（以下简称 交易商协会）相关自律规则，制 定本指引。第二条本指引所称的尽职 调查，是指中介机构遵循合理 性、必要性和重要性原则，通过 必要的方法和步骤，在债务融资 工具债权债务关系成立前，调查 了解企业的生产经营、财务状 况、偿债能力、信用情况等事项 及其合法合规性的行为

12、IonJune29,2023)ChapterIGeneralProvisionsArticle1TheseGuidelinesaredevelopedinaccordancewiththerelevantlawsandregulations,departmentalrules,regulatorydocuments,andrelevantself-regulatoryrulesoftheNationalAssociationofFinancialMarketInstitutionalInvestors(hereinafterreferredtoastheuNAFMI,)toregulatein

13、termediariesduediligenceondebtfinancinginstrumentsofnon-financialenterprises(hereinafterreferredtoasudebtfinancinginstruments)intheinterbankbondmarketandimprovethequalityofduediligence.Article2ForthepurposesoftheseGuidelines,ttduediligencemeansthatanintermediaryconductsinvestigationsandobtainsinform

14、ationonmatterssuchasanenterprisesproductionandoperation,financialstatus,solvency,andcreditstatusandthecompliancewithlawsandregulationsthereofundertheprinciplesofreasonableness,necessity,andimportanceandthroughnecessarymethodsandsteps,beforetheestablishmentofthedebtor-creditorrelationshipofadebtfinan

15、cinginstrument.Article 3 Anintermediaryshallactwithdue尽责、诚实守信，严格遵守职业 道德和执业规范，有计划、有组 织、有步骤地开展尽职调查，保 证尽职调查质量。diligence,behonestandtrustworthy,strictlyabidebyprofessionalethicsandpracticenorms,andconductduediligenceinaplanned,organized,andstep-by-stepmannertoensurethequalityofduediligence.中介机构应当恪守保密义务，
