11、CompanyLawofthePeoplesRepublicofChina(ExposureDraft).和国公司法注册资本登记管 理制度的规定RegisteredCapitalRegistrationManagementSystemoftheCompanyLawofthePeople,sRepublicofChina（征求意见稿）(ExposureDraft)第一条为规范公司注 册资本登记管理行为，引导股 东理性出资，维护市场交易安 全，持续优化营商环境，有效 实施中华人民共和国公司 法（以下简称公司法），制 定本规定。Article1TheseProvisionsaredevelopedf

12、orthepurposesofregulatingtheregistrationmanagementofcompanies*registeredcapital,guidingshareholderstorationallymakeinvestment,maintainingthesafetyofmarkettransactions,continuouslyoptimizingthebusinessenvironment,andeffectivelyimplementingtheCompanyLawofthePeoplesRepublicofChina(hereinafterreferredto

13、astheuCompanyLawn).第二条有限责任公司 应当按照公司章程规定，自公 司成立之日起五年内缴足注册 资本。Article2Alimitedliabilitycompanyshall,inaccordancewiththeprovisionsofitsbylaws,payupregisteredcapitalwithinfiveyearsfromthedateofitsformation.发起设立或者定向募集设立的 股份有限公司，发起人应当按 照其认购的股份全额缴足股 款。Whereajointstocklimitedcompanyisinitiatedorformedbypriv

14、ateplacement,promotersshallmakefullpaymentofsharessubscribedfor.向社会公开募集设立的股份有 限公司，办理公司登记注册 时，应当缴足向社会公开募集 股份的股款，并提交验资机构 的验资证明。Whenajointstocklimitedcompanyformedbypublicofferingundergoestheformalitiesofcompanyregistration,itshallmakefullpaymentofsharesofferedtothepublicandsubmitacapitalverificationce
