企业名称登记管理规定实施办法MeasuresfortheImplementationoftheProvisionsontheAdministrationofEnterpriseNameRegistration制定机关：国家市场监督管理总局发文字号：国家市场监督管理总局令第82号公布日期：2023.08.29施行日期：2023.10.01效力住阶：部门规章法规类别：企业登记管理营商环境优化IssuingAuthority：StateAdministrationforMarketRegulationDocumentNumber：OrderNo.82oftheStateAdministrationforMarketRegulationDateIssued：08-29-2023EffectiveDate：10-01-20231.evelofAuthority：DepartmentalRulesAreaofLaw：EnterpriseRegistrationandAdministrationC)PtimiZadOnofDoingBusiness国家市场监督管理总局令OrderoftheStateAdministrationforMarketRegulation（第82号）(No.82)企业名称登记管理规定实施 办法已经2023年8月17日 市场监管总局第18次局务会议 通过，现予公布，自2023年10 月1日起施行。TheMeasuresfortheImplementationoftheProvisionsontheAdministrationofEnterpriseNameRegistration,asadoptedatthe18thexecutivemeetingoftheStateAdministrationforMarketRegulationonAugust17,2023,areherebyissued,andshallcomeintoforceonOctober1,2023.局长罗文Director:LuoWenAugust 29, 20232023年8月29日MeasuresfortheImplementationoftheProvisionsontheAdministrationofEnterpriseNameRegistrationChapterIGeneralProvisionsArticle1TheseMeasuresaredevelopedinaccordancewiththeProvisionsontheAdministrationofEnterpriseNameRegistration,theRegulationofthePeople'sRepublicofChinaontheAdministrationoftheRegistrationofMarketEntities,andotherrelevantlawsandadministrativeregulationstoregulatetheadministrationofenterprisenameregistration,protectthelawfulrightsandinterestsofenterprises,maintainthesocialandeconomicorder,andoptimizethebusinessenvironment.Article2TheseMeasuresshallapplytoenterprisesthatshallbelegallyregisteredwithintheterritoryofChina,includingbutnotlimitedtocompanies,unincorporatedenterpriselegalpersons,partnerships,soleproprietorshipenterprises,andbranchesoftheaforesaidenterprises,aswellasthebranchesofforeigncompanies.Article 3 Theadministrationofenterprisenameregistrationshallfollowtheprinciplesofcompliancewithlawsandregulations,unifiedstandards,opennessandtransparency,andconvenienceandefficiency.企业名称登记管理规定实施办 法第一章总则第一条为了规范企业名 称登记管理，保护企业的合法 权益，维护社会经济秩序，优 化营商环境，根据企业名称 登记管理规定中华人民共 和国市场主体登记管理条例 等有关法律、行政法规，制定 本办法。第二条本办法适用于在 中国境内依法需要办理登记的 企业，包括公司、非公司企业 法人、合伙企业、个人独资企 业和上述企业分支机构，以及 外国公司分支机构等。第三条企业名称登记管 理应当遵循依法合规、规范统 一、公开透明、便捷高效的原 则。企业名称的申报和使用应当坚 持诚实信用，尊重在先合法权 利，避免混淆。Theapplicationfortheregistrationandtheuseofenterprisenamesshalladheretogoodfaith,respectpriorlawfulrights,andavoidconfusion.Article 4 TheStateAdministrationforMarketRegulation(uSAMRm)shalltakechargeoftheadministrationofenterprisenameregistrationnationwide,beresponsibleforformulatingspecificnormsfortheadministrationofenterprisenameregistration,suchastherulesforprohibitingandrestrictingtheuseofenterprisenamesandtherulesforthecomparisonofidenticalandsimilarenterprisenames;andberesponsibleforestablishing,managing,andmaintainingthenationalsystemforthestandardmanagementofenterprisenamesandtheenterprisenameregistrationapplicationsystemoftheSAMR.Themarketregulatorydepartmentsofpeople'sgovernmentsofallprovinces,autonomousregions,andmunicipalitiesdirectlyundertheCentralGovernment(hereinaftercollectivelyreferredtoas“provincialenterpriseregistrationauthoritiesn)shallberesponsibleforestablishing,managing,andmaintainingtheenterprisenameregistrationapplicationsystemwithintheirrespectiveadministrativeregionsandconnectingitwiththenationalsystemforthestandardmanagementofenterprisenamesandtheenterprisenameregistrationapplicationsystemoftheSAMR.1.ocalenterpriseregistrationauthoritiesatandabovethecountylevelshallberesponsiblefortheadministrationofenterprisenameregistrationwithintheirrespectiveadministrativeregions,handlingdisputesoverenterprisenames,andregulatingtheorderofadministrationofenterprisenameregistration.第四条国家市场监督管 理总局主管全国企业名称登记 管理工作，负责制定企业名称 禁限用规则、相同相近比对规 则等企业名称登记管理的具体 规范；负责建立、管理和维护 全国企业名称规范管理系统和 国家市场监督管理总局企业名 称申报系统。第五条各省、自治区、 直辖市人民政府市场监督管理 部门（以下统称省级企业登记 机关）负责建立、管理和维护 本行政区域内的企业名称申报 系统，并与全国企业名称规范 管理系统、国家市场监督管理 总局企业名称申报系统对接。县级以上地方企业登记机关负 责本行政区域内的企业名称登 记管理工作，处理企业名称争 议，规范企业名称登记管理秩 序。第六条国家市场监督管 理总局可以根据工作需要，授 权省级企业登记机关从事不含 行政区划名称的企业名称登记Article 5 TheSAMRmay,asneededforwork,authorizeprovincialenterpriseregistrationauthoritiestoadministertheregistrationofenterprisenamesthatdonotcontainthenameofanyadministrativedivision,andprovidehigh-qualityenterprisenameregistrationapplicationservices.TheSAMRshallestablishrandominspectionrulestostrengthenthesupervisionandinspectionoftheworkspecifiedintheprecedingparagraph.ChapterIlStandardizationofEnterpriseNamesArticle 7 AnenterprisenameshallusestandardChinesecharacters.Ifanenterprisenameneedstobetranslatedintoaforeignlanguageforuse,theenterpriseshalltranslateanduseitsenterprisenameundertherelevantforeignlanguagetranslationprinciplesandmaynotviolatetheprovisionsofanylaworregulation.Article 8 Anenterprisenameshallgenerallyconsistofthenameoftheadministrativedivision,tradename,industryoroperationalcharacteristics,andorganizationalform,andbearrangedinsequence,exceptthatitisotherwiseprescribedbyanylaw,administrativeregulation,ortheseMeasures.Article 9 Thenam
