保密合约书Non-DisclosureAgreement本保密合约(下称本合约)是由下列立约人所缔结：ThisNon-DisclosureAgreement(hereinafterreferredtoas"Agreement*)ismadeeffectiveandenteredintobyandbetween:立约人PartiesXX有限公司(下称揭露方)XXCo,Ltd.(hereinafterreferredtoasthe"DisclosingParty")及And(下称接收方)(hereinafterreferredtoasthe"ReceivingParty”)(以下各称！一方，合称双方或立约人)(hereinafterreferredtoindividuallyasa“Party“andcollectivelyasthe“Parties”)前言Recital揭露方拟揭露其所持有之某机密数据交予接收方，供接收方(下称目的)。(hereinafterreferredtoastheTurposen).立约人同意下面事项：NOW,THEREFORE,thePartiesagreeasfollows:1 .合约期间AgreementTerm1.1 本合约自公元年一月一口(下称生效日期)起生效，为期1年。ThisAgreementiseffectivefor1yearfrom/(YYYY/MM/DD)(hereinafterreferredtoas"EffectiveDate").2 .保密义务ConfidentialityObligations2.1 本合约所称之机密信息包括但不限于本合约内容、与揭露方、其继承人、受让人、子公司、分公司、关系企业、股东、利益相关者、员工、董事、代表、代理人、经销商、被授权人、事业合作伙伴、供货商、承包商、顾问、任何提供服务的自由职业者、客户或用户相关或为其拥有之任何非公开物品、文件、通讯、数据及信息(包括但不限于分析、商业计划、经营策略、汇编、构想、公司文件、创作、衍生作品、设计、发现、聘雇信息、员工薪资、现有或潜在客户及厂商名单、财务报表、流程图、人事资料、智能财产、解释、发明、专有技术、法律文件、行销活动与技巧、备忘录、笔记、个人资料、价格及定价政策、产品、质量控制制度、研发成果、研究、服务、软件、规格、技术文件、营业秘密，以及其他具商业价值之任何物品、文件、通讯、数据及信息)、与揭露方的任何讨论、谈判、安排及协议内容，以及揭露方有义务保密之任何非公开的第三方物品、文件、通讯、数据及信息，无论是书面、口头或任何其他形式，无论是否新颖或独特，无论是否经过修改或未经修改，无论是否标示为机密，无论何时何地被披露。The“ConfidentialInformation“referredtointhisAgreementincludes,withoutlimitation,thecontentofthisAgreement,anynon-publicitems,documents,communication,data,andinformationrelatedorproprietarytotheDisclosingParty,itssuccessors,assigns,subsidiaries,branches,affiliates,shareholders,stakeholders,employees,directors,representatives,agents,distributors,licensees,businesspartners,suppliers,contractors,consultants,anyfreelancerprovidingservices,customers,orusers(includingbutnotlimitedtoanalysis,businessplans,businessstrategies,compilations,concepts,corporatedocuments,creations,derivativeworks,designs,discoveries,employmentinformation,employeesalaries,existingorpotentialcustomerandvendorlists,financialreports,flowcharts,humanresourcesdata,intellectualproperty,interpretations,inventions,know-how,legaldocuments,marketingactivitiesandtechnique,memoranda,notes,personaldata,pricesandpricingpolicy,products,qualitycontrolsystems,researchanddevelopmentresults,services,software,specifications,studies,technicaldocuments,tradesecrets,andanyothercommerciallyvaluableitems,documents,communication,data,andinformation),thecontentofanydiscussion,negotiation,arrangement,andagreementwiththeDisclosingParty,andanynon-publicthird-partyitem,document,communication,data,andinformationwhichtheDisclosingPartyisobligatedtokeepconfidential,regardlesswhetherinwritten,oraloranyotherform,whethernovelorunique,whethermodifiedorunmodified,whethermarkedasconfidential,wheneverandhoweverdisclosed.2.2 接收方若直接或间接知悉或取得任何机密信息，接收方应严格保密该机密信息，并应尽善良管理人之注意义务，采取一切必要之安全措施，确保该机密信息之机密性和安全性。IftheReceivingPartydirectlyorindirectlybecomesawareoforobtainsanyConfidentialInformation,theReceivingPartyshallkeeptheConfidentialInformationstrictlyconfidentialandshallexercisetheduecareofaprudentadministratortotakeallnecessarysecuritymeasurestoensuretheconfidentialityandsafe-keepingoftheConfidentialInformation.2.3 接收方若直接或间接知悉或取得揭露方有义务保密之任何非公开的第三方物品、文件、通讯、数据及信息，接收方应立即通知揭露方，并应依本合约及揭露方与该第三方之保密协议之规定尽保密义务。IftheReceivingPartydirectlyorindirectlybecomesawareoforobtainsanynon-publicthird-partyitem,document,communication,data,andinformationwhichtheDisclosingPartyisobligatedtokeepconfidential,theReceivingPartyshallimmediatelynotifytheDisclosingPartyandperformtheconfidentialityobligationsinaccordancewiththetermsofthisAgreementandthenon-disclosureagreementbetweentheDisclosingPartyandthethird-party.2.4 除为本合约规定之目的外，接收方不得直接或间接揭露机密信息予任何第三方或将机密信息供自己或任何第三方使用之。ExceptforthePurposeunderthisAgreement,theReceivingPartyshallnotdirectlyorindirectlydisclosetheConfidentialInformationtoanythirdpartyandshallnotpersonallyuseorletanythirdpartyusetheConfidentialInformation.2.5 接收方应确保因本合约规定之目的而须知悉机密信息的任何第三方已签订保密合约，并同意负与本合约至少同样严格之保密义务。任何机密信息若由与接收方相关之任何第三方揭露，接收方应承担连带责任。TheReceivingPartyshallensurethatanythirdpartywhohaveaneedtoknowtheConfidentialInformationforthePurposeunderthisAgreementhassignedanon-disclosureagreementandagreedtohaveconfidentialityobligationsatleastasstringentasthoseunderthisAgreement.IfanyConfidentialInformationisdisclosedbyanythirdpartyrelatedtotheReceivingParty,theReceivingPartyshallbejointlyandseverallyliable.2.6 揭露方提供的任何机密信息仍属于揭露方的财产。若揭露方要求，接收方应立即将该机密信息返还揭露方或销毁，并出具书面证明该机密信息已被返还或销毁。AnyConfidentialInformationfurnishedbytheDisclosingPartyshallremainthepropertyoftheDisclosingParty.IfrequestedbytheDisclosingParty,theReceivingPartyshallimmediatelyreturntotheDisclosingPartyordestroytheConfidentialInformationandconfirminwritingthattheConfidentialInformationhasbeenreturnedordestroyed.2.7 除本合约另有规定外，揭露方所拥有之任何机密信息的任何权利仍属于揭露方的独家财产。本合约或任何机密信息揭露均不授予接收方任何权利将该机密信息用于履行本合约之外的任何其他目的。UnlessotherwiseprovidedinthisAgreement,anyrightsinandtoanyConfidentialInformationownedbytheDisclosingPartyshallremaintheexclusivepropertyoftheDisclosingParty.NeitherthisAgreement,noranydisclosureofConfid
