上市公司股东减持股份管理暂行办法InterimMeasuresfortheAdministrationofShareholdingReductionbyShareholdersof1.istedCompanies制定机关：中国证券起督管理委员会发文字号：中国证券览售管理委员会令第224号公布日期：202-1.05.21法行日期：2024.05.24效力位阶：部门规章法院类别：上市公司IssuingAuthority：ChinaSecuritiesRegulatoryCommissionDoClImCfHNumberOrderNo.224oftheChinaSecuritiesRegulatoryCommhionDateIssued：05-24-2024EffectiveDate：05-24-20241-evelofAuthorityDqxr(n½ntalRulesAreaof1-aw:1.iscedCompaniesOrderoftheChinaSecuritiesRegulatoryCommission(No.224)TheInterimMeasuresfortheAdministrationofShareholdingReductionbyShareholdersof1.istedCompanies,asdeliberatedandadoptedatthe1stexecutivemeetingoftheChinaSecuritiesRegulatoryCommissionin2024onMay23,2024,areherebyissued,andshallcomeintoforceonthedateofissuance.WuQing,ChairmanoftheChinaSecuritiesRegulatoryCommissionMay24,2024Annex 1: InterimMeasuresfortheAdministrationofShareholdingReductionbyShareholdersof1.istedCompaniesAnnex 2: Explanationonthe1.egislationoftheInterimMeasuresfortheAdministrationofShareholdingReductionbyShareholdersof1.istedCompaniesInterimMeasuresfortheAdministrationofShareholdingReductionbyShareholdersof1.istedCompanies中国证券监督管理委员会令(第224号)上市公司股东减持股份管理暂行办法已经2021年5月23日中国证券监停管理委员会2024年第1次委务会议审议通过，现予公布，自公布之日起施行。中国证券监督管理委员会主席：吴清2024年5月24日两件I：上市公司股东减持股份管理暂行办法附件2：f上市公司股亲持股份管理暂行办法立法说明上市公司股东减持,股份管理但行办法（2024年5月23日中国证券监督管理委员会第1次委务会议审议通过）(Deliberatedandadoptedatthe1stexecutivemeetingoftheChinaSecuritiesRegulatoryCommissiononMay23,2024)第一条为了规范上市公司股东:成持股份行为，保护投资者的合法权益，维护证券市场秩序，促进证券市场长期确定健康发展，根据中华人民共和国公司法（以下简称公司法）,中华人民共和国证券法（以下筒称证券法）等法律、行政法规的规定，制定本办法.Article1TheseMeasuresaredevelopedinaccordancewiththeCompany1.awofthePeople'sRepublicofChina("Company1.aw"),theSecurities1.awofthePeople'sRepublicofChina("Securities1.aW)andotherapplicablelawsandadministrativeregulationsforthepurposesofregulatingshareholdingreductionbytheshareholdersoflistedcompanies,protectingthelawfulrightsandinterestsofinvestors,maintainingtheorderofthesecuritiesmarket,andpromotingthelong-termstableandsounddevelopmentofthesecuritiesmarket.第二条上市公司持有百分之五以上股份的股东、实际控制人（以下统称大股东）、董事、监事、态级管理人员减持股份，以及其他股东减持其持有的公司首次公开发行前发行的股份,适用本办法。Article2TheseMeasuresshallapplytoshareholdingreductionbyshareholdersholding5%ormoreofthesharesofalistedmpanyortheactualcontroller(hereinaftercollectivelyreferredtoas"principalshareholders"),directors,supervisors,orseniorexecutivesofthelistedcompanyandthereductionofpre-1POsharesbyothershareholdersofthelistedcompany.大股东减持其通过证券交易所集中竞价交易买入的上市公司股份，仅适用本办法第四条至第八条、第十八条、第二十八条至第三十条的规定。Aprincipalshareholder'sreductionofsharesheldinalistedcompanythatwerepurchasedthroughcallauctiontradingonastockexchangeshallonlybegovernedbytheprovisionsofArticles4through8,Article18,andArticles28through30oftheseMeasures.大股东减持其参与首次公开发行、上市公司向不特定对象或者特定对象公开发行股份而取得的上市公司股份，仅适.用本办法第四条至第八条、第十条、第十一条、第十八条、第二十八条至第三十条的规定。Aprincipalshareholder'sreductionofsharesheldinalistedcompanyobtainedthroughparticipationinanIPOoralistedcompany'spublicofferingofsharestounspecificorspecificpartiesshallonlybegovernedbytheprovisionsofArticles4through8,Articles10,11,18.andArticles28through30oftheseMeasures.第三条上市公司股东可以通过证券交易所的证券交易、协伙转让及法律、行我法规允许的其他方式减持股份。Article3Ashareholderofalistedcompanymayreduceshareholdingbysellingsecuritiesthroughastockexchange,byagreement-basedtransfer,andinothermethodspermittedbylawsandadministrativeregulations.第四条上市公司股东应当遵守公司法证券法和有关法律.行政法规，中国证券监督管理委员会（以下简称中国证监会规章、规范性文件以及证券交易所规则中关于股份转让的限制性规定。Article4TheshareholdersofalistedcompanyshallcomplywiththerestrictiveprovisionsonsharetransferspecifiedintheCompany1.aw,theSecurities1.aw,andotherrelevantlawsandadministrativeregulations,rulesandregulatorydocumentsoftheChinaSecuritiesRegulatoryCommission(CSRC)1andrulesofthestockexchange.上市公司股东就偎制股份转让作出承诺的,应当严格遵守。Theshareholdersofalistedcompanyshallstrictlycomplywiththeundertakingstheymakeontherestrictedtransferoftheirshares.第五条上市公司股东减持股份.应当按段法律、行政法规和本办法,以及证券交易所规则履行信息披露义务，保证披露的信息真实、准确、完整。Article5Ashareholderofalistedcompanythatreducesshareholdingshallfulfilltheinformationdisclosureobligationinaccordancewithlaws,administrativeregulations,theseMeasures,andrulesofthestockexchange,toensurethattheinformationdisclosedistruthful,accurate,andmplete.第六条大股东减持股份应当规范、理性、有序，充分关注上市公司及中小股东的利益。Article 6 Thereductionofshareholdingsbyprincipalshareholdersshallbestandardized,rational,andorderly,withfullconsiderationoftheinterestsofthelistedcompanyandminorityshareholders.上市公司应当及时了解股东减持本公司股份的情况，主动做好规则提示。上市公司董事会秘书应当每季度检查大股东减持本公司股份的情况。发现违法违规的，应当及时向中国证监会、证券交易所报告。Alistedcompanyshallpromptlyobtaintheinformationonitsshareholders'reductionofsharesheldinthecompanyandtaketheinitiativetogiveremindersontherules.Thesecretaryoftheboardofdirectorsofalistedcompanyshallcheckprincipalshareholders'reductionofsharesheldinthecompanyonaquarterlybasis.AnyviolationoflaworregulationdiscoveredshallbepromptlyreportedtotheCSRCandthestockexchange.第七条存在下列情形之一的，大股东不得减持本公司股份：
