Specifyingthestandardsforbusinessmanagement一、明确业务管理口径ForthepurposesofthisNotice,theterm"operatingpropertyIOarrmeanSaloan,grantedbyacommercialbanktoanincorporatedenterprisethatholdscommercialrealestatewhichhaspassedthecompletionacceptance,obtainedtherealestatecertificatesoftitle,andbeenputintooperation,andhasfavorableoverallperformance,thatissecuredbyanoperatingpropertyandisactuallyusedforthepropertyitselforthefieldsrelatedtorealestate.Commercialrealestateincludesbutisnotlimitedtocommercialcomplexes,shoppingcenters,businesscenters,officebuildings,hotels,andculturaltourismrealestateprojects,excludingcommercialhousingandrentalhousing.ExceptfortheoperatingpropertyloansmentionedinthisNotice,otherloansarestillsubjecttothecurrentpolicies.II. Upholdinglaw-basedbusinessdevelopmentCommercialbanksshallcarryoutoperatingpropertyloanbusinessinaccordancewiththeprinciplesofmarketizationandtheruleoflaw.OperatingpropertyloansthatmeetthedefinitionofthisNoticeshallbeincludedinthestatisticsofrealestateloans.Theborrowerofanoperatingpropertyloanshallbeformedaccordingtothelaw,andthepropertythatusestheloanshallhaveclearpropertyrightsandnocomplicatedcreditor-debtorrelationship.Theborrowermaybearealestatedeveloper.Anoperatingpropertyloanmaybeusedformeetingthecapitalneedsoftheproperlyforbusinessactivitiesrelatedtothepropertyitselfduringtheoperationperiod,suchasits本通知所称经营性物业贷款,是指商业银行向持有已竣工验收合格、办妥不动产权证书并投入运营的综合效益较好的商业性房地产的企业法人发放的,以经营性物业为抵押,实际用途投向物业本身或与房地产相关领域的贷款。商业性房地产包括但不限于商业综合体、购物中心、商务中心、写字楼、酒店、文旅地产项目等,不包括商品住房、租赁住房。除本通知所称经营性物业贷款外,其他贷款仍按现行政策执行。二、坚持依法合规展业商业银行要按照市场化、法治化原则,依法合规开展经营性物业贷款业务。符合本通知定义的经营性物业贷款应纳入房地产贷款统计。经营性物业贷款的借款人须依法成立,承贷物业应产权清晰,无复杂的债权债务关系。经营性物业贷款的借款人可以为房地产开发企业。经营性物业贷款可用于承贷物业在经营期间的维护、改造、装修等与物业本身相关的经营性资金需求,以及置换借款人为建设或购置该物业形成的贷款、股东借款等,不得用于购地、新建项目或其他限制性领域。经营性物业贷款在发放前应明确贷款用途。2024年底前,对规范经营、发展前景良好的房地产开发企业,全国性商业银行在风险可控、商业可持续基础上,还可发放经营性物业贷款用于偿还该企业及其集团控股公司(含并表子公司)存量房地产领域相关贷款和公开市场债券。商业银行要根据承贷物业经营状况、评估价值,以及借款人及其集团公司的偿债能力、信用状况、担保方式等因素,合理确定经营性物业贷款额度。经营性物业贷款额度原则上不得超过承贷物业评估价值的70%o商业银行应结合承贷物业经营情况等因素,按照市场化原则,与借款人协商确定贷款利率及还本付息方式。经营性物业贷款期限一般不超过10年,最长不得超过15年,且贷款到期日应早于承贷物业产权证到期日至少5年。经营性物业贷款第还款来源应为承贷物业本身的经营收maintenance,renovation,anddecoration,andforreplacingloansandshareholderloansformedbyborrowersfortheconstructionorpurchaseoftheproperty.Itmaynotbeusedforlandpurchasesandnewprojectsorinotherrestrictedareas.Thepurposeofanoperatingpropertyloanshallbeclearlydefinedbeforetheloanisgranted.Beforetheendof2024,nationalcommercialbanksmaygrantoperatingpropertyloanstorealestatedeveloperswithwell-regulatedoperationandgooddevelopmentprospectstorepaytheexistingrealestate-relatedloansandopen-marketbondsoftheenterprisesandtheirgroupholdingcompanies(includingconsolidatedsubsidiaries)onthebasisofcontrollablerisksandcommercialsustainability.Commercialbanksshallreasonablydeterminethelineofcreditforanoperatingpropertyaccordingtotheoperatingconditionsandassessedvalueofthepropertythatusestheloanandthesolvency,creditstanding,andguaranteemethodsoftheborroweranditsgroupcompany.Inprinciple,thelineofcreditforanoperatingpropertyshallnotexceed70%oftheassessedvalueofthepropertythatusestheloan.Commercialbanksshall,bytakingintoaccountfactorssuchastheoperationofthepropertythatusestheloan,andundertheprincipleofmarketization,negotiatewithborrowerstodeterminethelendingratesandrepaymentmethods.Thetermofanoperatingpropertyloanistypicallynotmorethantenyears,andmaynotexceedamaximumof15years,andthematuritydateoftheloanshallbeatleastfiveyearsearlierthantheexpirationdateofthecertificateoftitleofthepropertythatusestheloan
